Introduction

Wecome to Localizebook, we are delighted to roll out our accounting platform, powered by Localize Techs Solution Co.,Ltd “ Localize” which is initiatively designed and developed by Kon Khmer.

This Agreement is a legal agreement between you and Localize governing your use of LocalizeBook online. You are required to read terms and conditions thoroughly prior to using the Services. If you do not agree to this Agreement, then you may not use the Services.

General Terms

  1. You must be at eligible age to use our Services. By accessing or using our services you agree that you can form a binding contract with Localize.
  2. Account signs up, you are required to sign up for a user account by providing all required information in order to access or use the Services. You agree to provide true, accurate, current and complete information about yourself during sign up process.
  3. Creating a business, when you create a business for subscription to use services and accept these terms, you become a subscriber. If you are the subscriber, you are obligated to pay for subscription fee regarding to your selected plan and monthly subscription bill.
  4. User invitation:  an invited user may get invitation from subscriber or other user according to role and permission in the organization or business. If you are an invited user, you must also accept these terms to use the services.
  5. The access right to the services:  we grant the right to use our services regarding to your subscription plan, user role and custom role that you assign; however, the subscription fee must be paid timely otherwise the subscription may be suspended or terminated. If you are an invited user, until your access is revoked.
  6. Subscribe role:  as a subscriber, you are able to control the business subscription, manage to pay subscription invoices, transfer subscription, resolve any disputes with invited user, and responsible for invited user’s activity.
  7. Your responsibilities:  You agree that you will keep your information up to date. You are responsible for providing true, accurate and complete information and for verifying the accuracy of any information that you use from our services for your legal, tax and compliance obligations. You’re also responsible for protecting your username and password from getting stolen or misused. Our service has minimum password standards but you will ensure that passwords are very strong and not easily guessable. The stronger password is highly recommended.

Fees, Payment and Refund

Fees: Your subscription fee is based on subscription plan as explained in selecting plan section which you consider that fit with your organization or business. We will general charge for the subscription on monthly basis. Amount of subscription fee will be made without setoff or counterclaim, and without any deduction or withholding. We may change the price for recurring subscription fees from time to time with notice to you. Price changes will take effect at the start of the next subscription period following the date of the price change. You may unsubscribe prior to the price change going into effect if you do not agree with the price change.

Payment: We will accept your payment through ABA Payway. Timely payment is important to continue accessing our services. To avoid delayed and interrupt from using our service, please ensure that bill payment shall be made prior to due date. Billing due date is 14 days from the issuing date. We may suspend access to your subscription until the payment is made.

No refunds:  No refund is due to you if you terminate or cancel your subscription or Localize terminates it in accordance with these terms.

You will be responsible for all fees and taxes associated with the use of subscription wherever imposed.

Enhancement of Services

We will handle periodical schedule to release update, alteration, and enhancement to our services, and somehow, we also may change or discontinue features; where this occurs, we will make effort to notify you in advance.

Account Suspension and Termination

We may suspend your user account or temporarily disable access to whole or part of any Service in the event of any suspected illegal activity, extended periods of inactivity or requests by law enforcement or other government agencies. Objections to suspension or disabling of user business or organization should be made to info@localizebook.com within thirty days of being notified about the suspension.

We may terminate a suspended or disabled your account after thirty days. We will also terminate your user account on your request. In addition, we reserve the right to terminate your user account and deny the Services upon reasonable belief that you have violated the Terms and to terminate your access to any Service in case of unexpected technical issues or discontinuation of the Service.

You have the right to terminate your user account. Termination of user account will include denial of access to all Services, deletion of information in your user account such as your email address and password and deletion of all data in your user account.

Additional Term

Localize does not give professional advice. Unless specifically included with the Services, Localize is not in the business of providing legal, financial, accounting, tax, health care, real estate or other professional services or advice. Consult the services of a competent professional when you need this type of assistance.

Disclaimer of Warranties

YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN AS-IS-AND-AS-AVAILABLE BASIS. LOCALIZE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. LOCALIZE MAKES NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE. USE OF ANY MATERIAL DOWNLOADED OR OBTAINED THROUGH THE USE OF THE SERVICES SHALL BE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, MOBILE TELEPHONE, WIRELESS DEVICE OR DATA THAT RESULTS FROM THE USE OF THE SERVICES OR THE DOWNLOAD OF ANY SUCH MATERIAL. NO ADVICE OR INFORMATION, WHETHER WRITTEN OR ORAL, OBTAINED BY YOU FROM LOCALIZE, ITS EMPLOYEES OR REPRESENTATIVES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS.

Limitation of Liabilities

YOU AGREE THAT LOCALIZE SHALL, IN NO EVENT, BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER LOSS OR DAMAGE WHATSOEVER OR FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, COMPUTER FAILURE, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS ARISING OUT OF OR CAUSED BY YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF LOCALIZE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL LOCALIZE’S ENTIRE LIABILITY TO YOU IN RESPECT OF ANY SERVICE, WHETHER DIRECT OR INDIRECT, EXCEED THE FEES PAID BY YOU TOWARDS SUCH SERVICE.
